Terms of Service
1. Definitions
"Service" means the Easy Care Lite web application and all associated features accessible at app.easycarelite.com.
"Company," "we," "us," or "our" means Code & Clarity, LLC.
"Subscriber" or "you" means the business or individual who registers for and uses the Service.
"Users" means any employees, contractors, or staff members you authorize to access the Service on your behalf.
"Resident Data" means any personal or health-related information entered into the Service regarding the individuals in your care.
2. Account Registration
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@codeandclarity.com of any unauthorized use of your account.
You must be at least 18 years of age and have the legal authority to enter into this agreement on behalf of the organization you represent.
3. Permitted Use
The Service is intended for use by licensed residential care facilities, group homes, assisted living facilities, and similar care organizations for internal operational management. You agree not to:
- Resell, sublicense, or redistribute the Service to third parties
- Use the Service for any unlawful purpose or in violation of any applicable regulations
- Attempt to gain unauthorized access to any portion of the Service or its related systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Upload or transmit malware, viruses, or any harmful code
- Use the Service to store data unrelated to your care facility operations
4. Healthcare Data & HIPAA
You acknowledge that Resident Data entered into the Service may constitute Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA). You are solely responsible for ensuring your use of the Service complies with all applicable federal, state, and local healthcare regulations, including HIPAA.
If your use of the Service requires a Business Associate Agreement (BAA) under HIPAA, please contact us at support@codeandclarity.com before entering any PHI into the platform. We will execute a BAA upon request.
You are responsible for obtaining all necessary consents from residents and their authorized representatives before entering their data into the Service.
5. Payment & Billing
Subscription fees are billed monthly based on your selected resident tier ($5 per resident per month, in increments of 10 starting at 15 residents). Fees are due at the start of each billing period.
You authorize us to charge your payment method on file automatically at the beginning of each billing cycle. All fees are non-refundable except as expressly stated in our Refund Policy.
We reserve the right to modify pricing with 30 days' advance written notice to your registered email address.
6. Cancellation & Termination
You may cancel your subscription at any time. There are no long-term contracts or cancellation fees. Upon cancellation, your access to the Service will continue through the end of your current paid billing period. See our Refund Policy for full details.
We reserve the right to suspend or terminate your account immediately if you violate these Terms, fail to pay fees when due, or use the Service in a manner that poses a risk to the security or integrity of the platform or other users' data.
Upon termination, you may request an export of your data within 30 days. After 30 days, we may delete your data from our systems.
7. Data Ownership & Security
You retain full ownership of all data you enter into the Service, including Resident Data. We do not claim any ownership rights over your data.
We implement industry-standard technical and organizational measures to protect your data, including encryption in transit (TLS) and at rest, access controls, and regular security reviews. However, no system is completely secure, and we cannot guarantee absolute security.
8. Service Availability
We strive for high availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We may perform scheduled or emergency maintenance that temporarily interrupts availability, and we will make reasonable efforts to provide advance notice of scheduled downtime.
9. Intellectual Property
All software, designs, trademarks, and content comprising the Service are the exclusive property of Code & Clarity, LLC or its licensors. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE ERROR-FREE.
THE SERVICE IS NOT A MEDICAL DEVICE AND IS NOT INTENDED TO REPLACE PROFESSIONAL CLINICAL JUDGMENT. YOU ARE SOLELY RESPONSIBLE FOR ALL CARE DECISIONS MADE AT YOUR FACILITY.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODE & CLARITY, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Code & Clarity, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third party's rights.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email to your registered address at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
